The terms that apply when you use flexwoomemberships.com, download FlexWoo Memberships or buy a FlexWoo Memberships Pro licence.

1. About these terms

These terms are an agreement between you and FlexWoo Memberships (“we”, “us”). By using this website, downloading our plugins or buying a licence, you accept them. If you buy on behalf of a company, you confirm that you can accept them for that company. Our Privacy Policy and Refund Policy form part of these terms.

2. The software and its licence

FlexWoo Memberships (free) and FlexWoo Memberships Pro are WordPress plugins released under the GNU General Public License, version 2 or later (GPL). The GPL governs the code. A paid licence key gives you access to Pro downloads, automatic updates and support for the number of sites and the period of your plan:

Starter: 1 site, one year of updates and support.
Pro: up to 10 sites, one year of updates and support.
Business: up to 100 sites, one year of updates and support.
Business Lifetime: up to 100 sites, updates and support for as long as the product is offered.

You can move a licence by deactivating it on one site and activating it on another. A “site” is one WordPress installation; staging and local copies of an activated site do not count towards the limit. Sharing or reselling licence keys is not allowed and may lead to the key being disabled.

3. Purchases, prices and taxes

Prices are shown in US dollars on our pricing page. Pro is sold through our reseller, Freemius, Inc., which acts as the merchant of record: it processes the payment, charges any sales tax, VAT or GST that applies, and sends your invoice. The price you see before you pay is the price you are charged, plus any tax shown at checkout.

4. Renewals and cancellation

Yearly licences renew automatically at the end of each year so that updates and support continue. Your licence renews at the same price you paid, as long as the subscription stays active. We send a reminder before each renewal. You can cancel automatic renewal at any time from your account or by writing to support@flexwoomemberships.com; your licence then stays valid until the end of the period you paid for. Lifetime licences are a one-time payment and do not renew.

If a licence expires, the plugin keeps working on your sites and your members keep their access, but you no longer receive Pro updates or support until you renew.

5. Refunds

Every Pro purchase is covered by our 30-day money-back guarantee. The details are in our Refund Policy.

6. Updates and support

While your licence is active, you receive Pro updates and support by e-mail at support@flexwoomemberships.com. Support covers installing, setting up and using our plugins and fixing problems in them. It does not cover custom development, third-party plugins or themes, or hosting problems, although we will always point you in the right direction when we can.

7. Your account

Keep your account and licence details secure, and tell us straight away if you think someone else has used them. You are responsible for activity under your account.

8. Acceptable use

You agree not to use our website, plugins or support to break the law, infringe anyone’s rights, send spam, distribute malware, or try to gain unauthorised access to our systems or other users’ data. You are responsible for the content and memberships you sell with our software and for complying with the laws that apply to your store, including consumer, tax and data protection laws.

9. Names, logos and content

The FlexWoo Memberships name, logo, mascot and the content of this website (text, screenshots and graphics) belong to us. The GPL covers the plugin code only; it does not give you the right to use our name or logo for your own products. WordPress, WooCommerce, Stripe, PayPal, Razorpay and other names are trademarks of their owners.

10. Third-party services

Our plugins work with services we do not control, such as WooCommerce and payment gateways. Your use of those services is governed by their own terms, and we are not responsible for their availability, fees or decisions.

11. Disclaimer of warranties

We work hard to make our software reliable, but it is provided “as is” and “as available”, without warranties of any kind beyond those the law does not allow us to exclude. Keep regular backups and test updates on a staging site before using them on a live store.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, revenue or data. Our total liability for any claim relating to our products or this website is limited to the amount you paid us in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

13. Indemnity

You agree to compensate us for claims, losses and reasonable legal costs caused by your breach of these terms or your misuse of our products.

14. Suspension and termination

We may suspend or end your licence or access if you seriously or repeatedly break these terms, for example by sharing licence keys or abusing support. Where it is reasonable, we will warn you first and give you time to fix the problem. You can stop using our products at any time.

15. Governing law

These terms are governed by the laws of India. Disputes will be handled by the competent courts in India, without affecting any mandatory consumer rights you have where you live. Before going to court, please contact us so we can try to resolve the issue together.

16. Changes to these terms

We may update these terms from time to time. The “Last updated” date shows the latest version. Changes do not apply retroactively; if a change is significant, we will tell customers by e-mail before it takes effect.
